Nominations for Election of Directors
The Annual General Meeting of members of Victoria Racing Club Limited (VRC) will be held at Flemington Racecourse in The Committee Room, on Tuesday 17 December 2024.
The following directors of the company (listed in alphabetical order) are eligible for re-election in accordance with the constitution of VRC should they choose to stand:
- Sophie O’Kane
- Michael Ramsden
- Neil Werrett
Nomination criteria and process
Any full member seeking election must meet the criteria under clause 10.6 of VRC’s constitution. The criteria include meeting legislative requirements to obtain approval by the Victorian Liquor Commission and Victorian Gambling and Casino Control Commission, the liquor and gaming regulators. Any questions in this regard should be directed to the Company Secretary using the contact details below.
Candidates meeting the eligibility criteria will be asked to meet with the VRC’s Remuneration & Nominations Committee. The purpose of this is to review each candidate’s skills and experience and answer any questions prospective candidates may have about the role. This Committee will provide a confidential report to the Board.
The Board may provide a statement of endorsement or recommendation to members in relation to one or more candidates, including incumbent directors.
Prospective candidates please note:
- All candidates will be provided with campaign guidelines. By submitting a nomination, candidates are agreeing to follow these guidelines.
- All candidate profiles will be fact-checked.
- Candidates may provide statements of up to 100 words to highlight their skills, strengths and areas of focus or interest regarding the VRC.
- The VRC may publish the number of votes received by all candidates.
Closing date for nominations
All nominations must be received by the Company Secretary, Victoria Racing Club Limited, 448 Epsom Road, Flemington 3031 no later than 5.00pm (AEDT) on Thursday 7 November 2024. Entries received later than this time will not be accepted.
Nominations must be submitted on the form available upon request and signed by two financial full members endorsing the nomination. Candidates must also provide any other relevant documentation requested on nomination or subsequently, including for the purposes of gaming and liquor licensing and to verify experience or qualifications claimed. All candidates will be required to provide certain consents to the use of their information. Failure to meet any of these requirements will put the validity of a candidate’s nomination at risk.

Nomination packs containing the relevant forms, guidelines and instructions may be obtained from Monday 21 October 2024, by contacting our Membership Services team on 1300 727 575 or membership@vrc.net.au.
Members who have requested a pack will be contacted by the Company Secretary to discuss the requirements and process. Members may also direct queries to the Company Secretary, Nadia Angelo at n.angelo@vrc.net.au.
PLEASE NOTE: Only full financial members for a continuous period of at least two years at the time of their nomination can nominate and only full financial members can vote in an election. If you have not yet renewed for the 2024/25 racing season you can do so by logging in to MyVRC or by calling the Membership Services Team on 1300 727 575.
